GenSight (Genassis Insights) Terms of Service

These Terms of Service (“Terms”) govern your access to and use of GenSight / Genassis Insights (the “App”).

Operator:

1) Acceptance

By accessing or using the App, you agree to these Terms. If you use the App on behalf of an organisation, you confirm you have authority to bind that organisation, and “you” includes the organisation.

2) Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the App.

3) No payments, no CME

At launch:

No fees are charged for using the App, and

the App does not provide Continuing Medical Education (CME) or accredited training.

We may introduce paid plans or additional features later. If we do, we will update these Terms and/or provide separate commercial terms before any charges apply.

4) Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify us promptly at support@genassis.ai if you suspect unauthorised access.

5) Acceptable use

You agree not to:

use the App unlawfully or to harm others,

attempt to gain unauthorised access to systems or data,

disrupt the App (including introducing malware),

reverse engineer, scrape, or circumvent access controls or rate limits,

upload content that infringes intellectual property, confidentiality, or privacy rights,

submit patient-identifiable personal data (the App is not designed for that purpose).

We may suspend or terminate access to protect the App, users, or security.

6) Your content

A. Ownership

You retain ownership of content you type into the App (“User Content”).

B. Licence to operate the App

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display your User Content only as needed to operate, secure, and improve the App and as described in the Privacy Policy.

C. Your responsibilities

You confirm you have the necessary rights and permissions to submit User Content and that it complies with applicable law and third-party rights.

7) Our intellectual property

The App and its underlying technology, software, design, and branding are owned by Genassis Solutions Ltd and/or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works from the App except as expressly permitted by law.

8) Feedback

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

9) Disclaimers

GenSight provides information tools and workflow support. It does not provide medical advice and is not a substitute for professional judgement, clinical guidelines, or regulatory advice.

The App is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, including fitness for a particular purpose, accuracy, and non-infringement.

10) Limitation of liability

To the maximum extent permitted by law, Genassis Solutions Ltd will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.

Our total liability for all claims relating to the App will not exceed £100.

Nothing in these Terms limits liability where it cannot legally be limited (including for fraud, or death/personal injury caused by negligence).

11) Indemnity

You agree to indemnify and hold us harmless from claims arising out of:

your User Content,

your misuse of the App, or

your breach of these Terms or applicable law.

12) Suspension and termination

We may suspend or terminate your access if you breach these Terms, if required for security/legal reasons, or if we discontinue the App. You may stop using the App at any time.

13) Changes

We may update the App and these Terms. If changes are material, we will provide reasonable notice (e.g., in-app notice). Continued use after the effective date means you accept the updated Terms.

14) Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory legal rights that apply.
